Also known as a “special member,” a Springing Member is required for some single-membered LLCs and Special Purpose Entities to engage in certain transactions. Used as a safeguard, these “standby” members can step forward and save the entity from dissolution in case of bankruptcy or if the single member becomes unable to continue his/her duties. Springing Members have no ownership or voting authority, and are intended only as interim members.
